Welcome to Jordans.com (this "Site"). This Site is provided by Jordan's Furniture, Inc. ("Jordan's Furniture," "we," "us," or "our") as a service to our customers. Please read these Terms of Use ("Terms") carefully before using this Site. By accessing or using this Site, you ("you" or "user") agree to be bound by these Terms.

BY ACCESSING OR USING THIS SITE, YOU REPRESENT THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THESE TERMS AND OUR PRIVACY POLICY, INCLUDING THEIR DISCLAIMERS AND LIMITATIONS OF LIABILITY. YOU ARE GIVING UP SUBSTANTIAL LEGAL RIGHTS BY AGREEING TO THESE TERMS. IF YOU DO NOT AGREE TO ANY OF THESE TERMS, YOU MAY NOT USE THIS SITE.

These Terms include a binding arbitration clause and class action waiver that affect your rights for resolving disputes with Jordan's Furniture.

These Terms may be modified without additional notice. Modified Terms become effective when posted on this Site. Please review these Terms on an ongoing basis. Your continued access to or use of this Site after the effective date of any changes constitutes your acceptance of the revised Terms. Any changes to Section 17 contained herein shall not apply retroactively to disputes arising before the change or if you have not accepted the change.

4. Eligibility

By using this Site, you certify that you are at least 18 years of age. If you are younger than 18, you are not authorized to use this Site.

Jordan's Furniture does not knowingly collect personal information about children under the age of 13.

Subject to your compliance with these Terms, Jordan's Furniture grants you a limited, revocable, non-exclusive, non-assignable, non-sublicensable license to access this Site using a generally available web browser to view information and use this Site. Any other use of this Site is prohibited and a violation of these Terms. Jordan's Furniture and its licensors reserve all rights in the Site and its contents not expressly granted in these Terms, including all title, ownership, and intellectual property rights.

Communications distributed by this Site may be sent by electronic mail, which is inherently insecure and unreliable and subject to interception, misdirection, and loss. This Site does not authenticate or validate the identity of any person following a hyperlink contained in such a message.

All billing and registration information you provide must be truthful and accurate; providing untruthful or inaccurate information is a breach of these Terms. By confirming a purchase at checkout, you agree to accept and pay for the merchandise or services requested.

6. Your Account

Account Creation
You may create an account (your "Account") and may be required to provide contact information. We reserve the right to refuse or reject any request to create an Account for any or no reason, in our sole discretion.

Responsibility
You are solely responsible for your Account, your contact information, and other information you make available to Jordan's Furniture through your Account or otherwise via this Site (your "Information"). You assume all risks associated with your Information, including reliance on its quality, accuracy, or reliability by any other person or entity.

Termination
You may terminate your Account at any time by contacting us as described in Section 3 (Contact Us).

If we have reason to suspect you have breached these Terms, or that any of your Information is unauthorized, incorrect, outdated, or incomplete, we may terminate your Account in addition to pursuing other available remedies. We reserve the right to erase any or all of your Information from this Site and to terminate your Account without notice or liability, at any time and for any or no reason, in our sole discretion. Termination of your Account will not affect provisions of these Terms — such as indemnification and limitations of liability — that by their nature are intended to survive termination.

Prohibited Uses

By using this Site, you agree that you will not, and will not assist, encourage, or enable others to:
a. violate these Terms or use this Site to violate the rights of any third party, such as copyright or trademark rights;
b. fail to use your true legal name and true electronic mail address, or provide inaccurate or incomplete information on this Site;
c. fail to provide, at your own cost, all equipment, software, mobile access, and internet access necessary to use this Site;
d. copy information from this Site other than as necessary for your personal, non-commercial use to view, save, print, fax, or e-mail such information;
e. otherwise reproduce, modify, distribute, display, or provide access to this Site or its content;
f. create derivative works from, decompile, disassemble, or reverse engineer any portion of this Site;

k. attempt to gain unauthorized access to any part of this Site, any user accounts, or any related computer systems or networks;
l. use this Site unlawfully, in a way that harms our business, service providers, licensors, or representatives, or in breach of any policy or notice on this Site;
m. impersonate another person or misrepresent your affiliation with another person or entity;
n. charge any person for access to any portion of this Site or any information on this Site;
o. access this Site through automated means (screen or database scraping, spiders, robots, crawlers, or similar) without our prior written permission;
p. engage in "framing" or "mirroring," or otherwise simulate the appearance or functionality of this Site.

Our Right to Use Your Information

As between you and Jordan's Furniture, your contact information, data, and other information you make available through your Account or otherwise on the Site (collectively, "Your Information") is owned by you. You grant Jordan's Furniture a worldwide, non-exclusive, royalty-free, assignable, sublicensable, transferable license to use, copy, publicly perform and display, reproduce, distribute, modify, translate, and prepare derivative works of Your Information in connection with the Site and the services we provide, subject to our Privacy Policy here https://www.jordans.com/privacy-policy

By providing us with your phone number, you consent to receiving autodialed calls, texts, and prerecorded messages from us regarding your Account and purchases, including current and possible future services, customer service, and billing. Your consent is not required to purchase any products, services, or experiences, and you may revoke consent for automated marketing communications at any time by texting STOP to 53460.

7. Pricing and Content Information

Jordan's Furniture reserves the right, in its sole discretion, to cancel or refuse any order for any reason at any stage of the online ordering process, including after an order has been submitted or confirmed.

Jordan's Furniture makes a conscientious effort to describe and display its products, promotions, and services accurately. Occasionally, items or promotions may be mispriced, described inaccurately, or unavailable. We do not guarantee the accuracy or completeness of Site information, including prices, product images, promotions, or services.

Prices displayed on this Site are quoted in U.S. Dollars and are valid only in the United States. Additional shipping charges may apply; you will be advised of such charges before your order is finalized.

You are responsible for applicable taxes. We do our best to ensure that taxes based on the applicable location are accurate; please notify us if you find an erroneous tax quote so we can correct it.

If an item is mispriced, Jordan's Furniture may, in its discretion, contact you for instructions or cancel your order and notify you of the cancellation. Store pricing may differ from online pricing, and our stores do not honor internet pricing.

In addition to the pricing terms above, the following site content information applies:

• Merchandise Content. Jordan's Furniture attempts to be accurate in its online product descriptions but does not warrant that product descriptions or other Site content is accurate, complete, reliable, current, or error-free. If a product is not as described, your sole remedy is to return it in unused condition.
• Objectionable Content. You may encounter Site content that some may deem offensive, indecent, or objectionable. By using this Site, you agree to do so at your own risk. Jordan's Furniture and its affiliates have no liability to you for such content.
• Sleep/Health Content. Content addressing allergies, pain, sleep-related illness or conditions in the Sleep Lab section or elsewhere on this Site is for educational purposes only and supplements, but does not substitute for, the diagnosis, treatment, and advice of a medical professional. Consult a medical professional for additional guidance; proper treatment depends on your personal health factors.
• Quantity Limits and Dealer Sales. Jordan's Furniture reserves the right, in its sole discretion, to limit the quantity of items purchased per person, household, or order, and will notify affected customers of any such limits. Jordan's Furniture also reserves the right to prohibit sales to dealers or resellers — defined as purchasing or intending to purchase products for commercial resale to a third party.
• Product Availability. Most products displayed on this Site are available in select Jordan's Furniture stores; in some cases, merchandise displayed on this Site may not be available in stores.

8. Colors

We have made reasonable efforts to accurately display the colors of our products on this Site. Because actual colors depend on your monitor, we cannot guarantee that your monitor's display of any color will be accurate.

9. Proprietary Rights

Jordan's Furniture owns all content and related intellectual property rights associated with the Site — including copyrights and trademarks — except for content owned by third-party licensors. Site content and materials, including text, graphics, interfaces, photographs, trademarks, logos, video, artwork, design, and their "look and feel," are protected by copyright, trademark, and other proprietary rights and laws.

Jordan's Furniture grants you a limited, non-exclusive license to download, print, and make a reasonable number of copies of Site content solely for your personal, non-commercial use as a shopping resource, provided you keep intact all copyright and proprietary notices and do not post the content on any network computer or publicly display or distribute it. References and links on Jordans.com to third-party names, marks, products, services, or information are provided solely as a convenience and do not constitute or imply endorsement, sponsorship, or recommendation by Jordan's Furniture.

This Site enables you to link to social media platforms to share content and visit our pages on those platforms. Any sharing of Site content must be for personal use only; you are prohibited from transferring Site content for any commercial purpose. Each social media platform maintains its own privacy practices, over which we have no control.

Jordan's Furniture is not responsible for the practices or policies of any third party, social media platform, or third-party content, and makes no representations regarding third-party products, services, content accuracy, or platform activities. Visiting third-party sites or platforms is entirely at your own risk.

11. Site Security

You are prohibited from violating or attempting to violate the security of this Site, including by: (a) accessing data or logging onto a server or account without authorization; (b) probing, scanning, or testing system or network vulnerabilities, or breaching security or authentication measures without authorization; (c) interfering with service to any user, host, or network, including by submitting a virus or overloading, flooding, mail-bombing, or crashing the Site; (d) sending unsolicited e-mail, including promotions or advertising; or (e) forging TCP/IP packet headers or e-mail/newsgroup posting header information.

Violations of system or network security may result in civil or criminal liability. Jordan's Furniture will investigate suspected violations and may involve and cooperate with law enforcement.

You agree not to use any device, software, or routine to interfere with the proper working of this Site, and not to use any automated means (browsers, spiders, robots, or intelligent agents) to navigate or search this Site other than through the search functionality we provide or generally available third-party web browsers.

12. Export Policy

Goods, including technology and software, licensed or sold on this Site are subject to U.S. customs and export control laws and regulations, and may also be subject to the customs and export laws of the country of manufacture or receipt.

By purchasing, downloading, or using technology or software from this Site, you agree to abide by applicable laws — including the Export Administration Act and the Arms Export Control Act — and represent that you will not transfer such software or technology to a foreign national or foreign destination in violation of applicable law.

13. User Reviews, Feedback, and Other User Content

This Site may allow you to submit, post, or otherwise make available ("Post") content such as video clips, photographs, reviews, questions, comments, ideas, designs, product feedback, and other user-generated content ("User Content"), including through social media. Other than Feedback (addressed below), you retain the copyright in original User Content you Post. By Posting User Content, however, you grant Jordan's Furniture a royalty-free, worldwide, perpetual, irrevocable, transferable, sublicensable license to use such content in any manner related to operating, promoting, and improving the Site, Jordan’s business, and Jordan’s customer service, including copying, modifying, deleting, adapting, publishing, translating, creating derivative works from, selling, distributing, and incorporating it into any form, medium, or technology worldwide.

Jordan's Furniture may use, reproduce, disclose, modify, adapt, create derivative works from, publish, display, and distribute User Content for any purpose related to operating, promoting, and improving the Site, Jordan’s business, and Jordan’s customer service, without restriction and without compensating you. Jordan's Furniture is under no obligation to keep any User Content confidential, pay compensation for it, or respond to it.

By Posting User Content, you represent and warrant that it will not violate these Terms or any third-party right (including copyright, trademark, privacy, or other proprietary rights), will not cause injury to any person or entity, and that you own or control all rights necessary to grant the license above. You further agree that your User Content will not be libelous or otherwise unlawful, threatening, abusive, or obscene, and will not contain malware, political campaign messages, commercial solicitations, chain letters, mass mailings, or spam.

Jordan's Furniture may, at its discretion, review, reject, move, edit, or remove any User Content. By using this Site, you grant Jordan's Furniture the right to use the name you submit in connection with your User Content. You agree not to use a false e-mail address, impersonate any person or entity, or otherwise mislead as to the origin of any User Content. You remain solely responsible for your User Content and agree to indemnify Jordans.com, Jordan's Furniture, and its affiliates for all claims resulting from it. Jordan's Furniture and its affiliates take no responsibility and assume no liability for User Content submitted by you or any third party.

From time to time, Jordan's Furniture may use third-party services to manage User Content, and any User Content you submit may be subject to those third parties' additional terms of use.

Feedback

From time to time, the Site may let you communicate with Jordan's Furniture regarding how we can improve the Site or the products and services advertised on the Site or in our stores ("Feedback"). Feedback communicated to Jordan's Furniture, whether consisting of suggestions, ideas, graphics, or other material, will be treated as nonconfidential and nonproprietary and becomes Jordan's Furniture's exclusive property. By submitting Feedback, you assign to us all worldwide rights, title, and interest in it, including all copyrights and other intellectual property rights, and agree that we may reduce it to practice, exploit, make, use, copy, disclose, display, perform, distribute, improve, and modify it for any purpose, without restriction, credit, or compensation. Please do not send Feedback you do not wish to assign to us.

14. Indemnification

You agree to defend, indemnify, and hold harmless Jordan's Furniture, its affiliates, and their related companies, suppliers, licensors, and partners — including their shareholders, members, managers, officers, directors, employees, agents, and representatives — from and against any and all claims, liabilities, damages, costs, and expenses, including attorneys' fees, arising from or related to your use of this Site or any breach by you of these Terms.

This Site is provided on an "as is" and "as available" basis. Jordan's Furniture makes no representations or warranties of any kind, express or implied, as to the operation of this Site or the information, content, materials, or products included on it.

TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, JORDAN'S FURNITURE DISCLAIMS ALL WARRANTIES — EXPRESS OR IMPLIED — INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, FOR ALL MERCHANDISE, SERVICES, AND EXPERIENCES OFFERED OR PROVIDED. YOUR USE OF THE SITE IS AT YOUR SOLE RISK. This disclaimer does not apply to any product warranty offered by the item's manufacturer and constitutes an essential part of these Terms. Some states do not allow limitations on how long an implied warranty lasts, so the foregoing limitations may not apply to you. To the extent applicable law does not permit us to disclaim a warranty or limit our liability, the scope and duration of that warranty and the extent of our liability will be the minimum permitted under such law. 16. Limitation of Liability

UNDER NO CIRCUMSTANCES, AND UNDER NO LEGAL OR EQUITABLE THEORY — WHETHER IN TORT, CONTRACT, STRICT LIABILITY, OR OTHERWISE — WILL JORDAN'S FURNITURE OR ANY OF ITS AFFILIATES, EMPLOYEES, DIRECTORS, OFFICERS, AGENTS, VENDORS, OR SUPPLIERS BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL LOSSES OR DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SITE OR THESE TERMS, INCLUDING DAMAGES FOR LOST PROFITS, LOSS OF GOODWILL, LOSS OF DATA, WORK STOPPAGE, ACCURACY OF RESULTS, OR COMPUTER FAILURE OR MALFUNCTION, EVEN IF AN AUTHORIZED REPRESENTATIVE OF JORDAN'S FURNITURE HAS BEEN ADVISED OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES.

In no event will Jordan's Furniture's aggregate liability for any claim or dispute arising out of or in connection with these Terms exceed one hundred U.S. dollars (USD $1,000.00). Nothing in this Limitation of Liability shall limit or waive any statutory consumer protection rights that cannot be waived as a matter of law.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, excluding its conflicts-of-law rules ("Governing Law"). You expressly agree to the arbitration procedures and terms set out below. For any claims not subject to arbitration, you agree to the exclusive jurisdiction of the state or federal courts located in Suffolk County, Massachusetts, and submit to those courts' personal jurisdiction. All claims related to these Terms or the Site, including arbitration as described below, must be brought within one year of the date the claim arose, or the claim is waived. EACH PARTY KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN RESPECT OF ANY DISPUTE ARISING OUT OF, UNDER, OR IN CONNECTION WITH THESE TERMS OR THE PRIVACY POLICY. To the extent the consumer protection laws of your state of residence provide non-waivable rights or remedies, this Section does not limit those rights.

Arbitration

You agree and assent, as permitted by law, to waive any right to a trial in court or by a jury, and that any dispute, controversy, or claim arising out of or relating to your use of this Site, these Terms, or our Privacy Policy — whether based on a breach or alleged breach — will be submitted to a single arbitrator and settled by binding arbitration under the Commercial Rules then in effect of JAMS. Any such controversy or claim will be arbitrated on an individual basis and will not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration will be conducted in Boston, Massachusetts. Judgment on the award may be entered in any court of competent jurisdiction. If any part of this class action waiver is found to be unenforceable, then the entirety of this Arbitration provision shall be null and void, and the claim shall proceed in the state or federal courts of the Commonwealth of Massachusetts sitting in Suffolk County. You have the right to opt-out of this Arbitration provisions within thirty days’ notice to Jordan’s by contacting us by mail or email as set forth in Section 3.

18. DMCA Notice

It is Jordan's Furniture's policy to respond to claims of copyright infringement. We will promptly process and investigate notices of alleged infringement by third parties and take appropriate action under the Digital Millennium Copyright Act, 17 U.S.C. § 512(c)(2) (the "DMCA"), where applicable. Notifications of claimed copyright infringement should be sent to our designated agent using the contact details in Section 3 (Contact Us).

To be effective under the DMCA, a notification of claimed infringement must be a written communication to our designated agent that includes:
i. a physical or electronic signature of a person authorized to act on behalf of the owner of the exclusive right allegedly infringed;
ii. identification of the copyrighted work claimed to have been infringed, or a representative list if multiple works at a single site are covered by one notification;
iii. identification of the material claimed to be infringing, to be removed, or to be disabled, and information reasonably sufficient to permit us to locate the material;
iv. information reasonably sufficient to permit us to contact the complaining party, such as an address, telephone number, and e-mail address;
v. a statement that the complaining party has a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
vi. a statement, under penalty of perjury, that the information in the notification is accurate and that the complaining party is authorized to act on behalf of the owner of the exclusive right allegedly infringed.
Upon receipt of a valid notification, Jordans.com will remove or disable access to the identified material, forward the notification to the alleged infringer, and take reasonable steps to notify the alleged infringer of the removal or disabling.

Under the DMCA, a claimant who makes misrepresentations concerning copyright infringement may be liable for damages, including costs and attorneys' fees, incurred by the alleged infringer or by Jordan's Furniture in relying on the misrepresentation.

If a notice of infringement has been filed against you, you may file a counter notification with our designated agent. To be effective, a counter notification must be a written communication that includes:
i. a physical or electronic signature;
ii. identification of the material removed or disabled and its location before removal or disabling;
iii. a statement, under penalty of perjury, that you have a good faith belief the material was removed or disabled as a result of mistake or misidentification; and
iv. your name, address, and telephone number, and a statement consenting to the jurisdiction of the Federal District Court for the judicial district where the address is located, and that you will accept service of process from the complainant or their agent.
If Jordan's Furniture receives a valid counter notification, it will provide a copy to the complainant, inform the complainant that it will replace the removed material or cease disabling access within 10 to 14 business days, and do so accordingly, unless the complainant first provides notice that it has filed an action seeking a court order restraining the alleged infringer.

The DMCA provides substantial penalties for a false counter notice. A claimant who makes misrepresentations in a counter notification may be liable for damages, including costs and attorneys' fees, incurred by any copyright owner, its authorized licensee, or Jordan's Furniture in relying on the misrepresentation.

20. General Provisions

These Terms, including all policies referenced in them, represent the complete agreement between you and us relating to your use of the Site and supersede all prior agreements and representations between us. Nothing in these Terms affects or supersedes your obligations in connection with any purchase made through the Site or through our stores or other experiences. Headings used in these Terms are for reference only and do not define or limit the scope of any section.

If any provision of these Terms is held unenforceable for any reason, it will be reformed only to the extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect. Jordan's Furniture's failure to act on a breach of these Terms does not waive its rights with respect to that breach or any subsequent breach. You agree that these Terms will not be construed against us as the drafter. To the extent permitted by law, you waive any defense based on the electronic form of these Terms or on the absence of your signature.
